Considering that: a) Purchaser and Supplier concluded the Contract No. CON-2023/353 for supply of process gas filter for Inčukalns underground gas storage, dated on November 16, 2023 (within the framework of the Contract No. INEA/CEF/ENER/M2018/175201, Action No 8.2.4-0031-LV-W-M-18), b) METANO IMPIANTI S.R.L. has been restructured and transferred all the business to FLENCO FLUID SYSTEM S.R.L. c) on July 19, 2024 the Purchaser has received a Supplier’s letter where the Supplier informs about the delay of the supply of process gas filter, citing the changes made by the buyer in the filter specification as the reason, d) the Purchaser has recognized the reasons for the delay as being caused by the Purchaser and unforeseeable to the Supplier and thus justified, and the delivery delay does not affect the overall project execution period, The Parties hereby agreed as follows: - Taking into consideration, that METANO IMPIANTI S.R.L. has been restructured and transferred all the business to, FLENCO FLUID SYSTEM S.R.L., hereby the Parties novate the Contract No. CON-2023/353 with the effect that any and all obligations and rights of rights of METANO IMPIANTI S.R.L.under the Contract No. CON-2023/353 shall be transferred and assigned to FLENCO FLUID SYSTEM S.R.L., and FLENCO FLUID SYSTEM S.R.L. shall assume any and all obligations and rights of METANO IMPIANTI S.R.L. under the Contract No. CON-2023/353 with debt discharging effect. - FLENCO FLUID SYSTEM S.R.L. shall be obliged and undertakes to fulfill any and all obligations of METANO IMPIANTI S.R.L. specified in the Contract No. CON-2023/353 and in accordance with the terms and conditions of the Contract No. CON-2023/353. - Clause 3.1. of the Contract should be read as follows: "3.1. The Supplier shall deliver the Goods by November 20, 2024. The Supplier has a right to supply the Goods before this term.".
